Terms and Conditions

Welcome to Verse Zine, a service provided by Subcreation Design, LLC (“Verse Zine,” “we,” “us,” “our”). By creating an account, using our free plan, subscribing to any paid plan, purchasing credits, downloading any assets, spending credits on funding goals, or reading any content through our service, you agree to be bound by these Terms and Conditions (“Terms”).

These Terms apply to all services offered under the Verse Zine brand, including Verse Zine Royalty Free and Zine-Patron.

SUMMARY OF KEY TERMS

  • Two services, one platform: Verse Zine offers two integrated services. Royalty Free lets you license and download digital image assets. Zine-Patron gives you access to a curated library of serialized creative work and lets you back funding goals that help decide what gets made next. Both services share the same account, Credits, and subscription plans.
  • Free and paid plans: We offer a free plan with limited monthly credits, and multiple paid subscription tiers with higher monthly credit allowances and full reading access to the Zine-Patron library.
  • Credits & rollover: Plans provide Credits you can use to download royalty-free assets or to back Zine-Patron funding goals. Credits roll over while your account is active and in good standing, up to a maximum rolling balance per plan described on our site. Unused Credits may be forfeited if your account is terminated for cause.
  • Credits on downloads vs. funding goals: A Credit spent on a download licenses that asset to you permanently. A Credit spent on a funding goal is a non-refundable signal of support — it counts toward the goal’s threshold but does not entitle you to a specific deliverable or guarantee any particular outcome.
  • Perpetual project license (Royalty Free): Assets you download come with a broad, perpetual, non-exclusive license for commercial and personal use in your own projects, subject to important restrictions and some reserved “high-impact” uses (such as broadcast, film/TV, and game distribution) that require a separate license.
  • Reading access (Zine-Patron): Free members can read pilots and select content. Any paid plan — including Royalty Free plans — grants full reading access to the Zine-Patron library.
  • Funding goals are not purchases: Spending a Credit on a funding goal is not a purchase, preorder, or donation. It is a signal of reader support. Credits spent on funding goals are non-refundable regardless of whether the goal reaches its threshold.
  • Single-user, per-seat model: Licenses are granted to individual subscribers, not companies. You cannot upload our Assets into shared libraries or drives for unlicensed teammates to reuse.
  • AI-assisted, human-directed artwork: All Assets originate from a human-led art direction process using AI tools. You may not use our Assets to train or fine-tune AI models or to create style profiles, LoRAs, or similar derivative training artifacts.
  • Behavior & account standing: We welcome good-faith feedback and quality concerns. Harassment, abuse, or bad-faith attacks against Verse Zine, our artists, staff, or customers can result in suspension, loss of free credits, and/or termination of your account.
  • Recurring billing & changes: Paid subscriptions renew automatically. You can cancel anytime to stop future charges. Upgrades are charged immediately (not prorated by time), and downgrades take effect on your next billing cycle. We generally do not offer refunds.

This summary is provided for convenience only. The full, legally binding terms are below.

1. THE SERVICE

1.1 Description. Verse Zine provides a platform with two integrated services accessible through our website (versezine.com) (the “Service”):

  • Royalty Free: A curated collection of high-quality, royalty-free digital image assets (“Assets”) that members can license and download using Credits.
  • Zine-Patron: A curated library of serialized creative work across formats — including fiction, poetry, screenplays, song lyrics, and articles — that members can read and support through a credit-based funding system (“Funding Goals”).

Both services share the same account, subscription plans, and Credit pool.

1.2 Plans. We currently offer:

  • a free plan that includes a small number of monthly Credits and limited reading access (“Free Plan”), and
  • one or more paid subscription plans that include larger monthly Credit allowances and full reading access to the Zine-Patron library (“Paid Plans”).

The specific names, prices, and benefits of each Plan are described on our Site and may change over time.

1.3 Reading Access. Free members can read pilots and any content placed outside the paywall. Full reading access to the Zine-Patron library requires any active Paid Plan, including Royalty Free plans. All Paid Plans include the same level of reading access.

1.4 Eligibility. You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of entering into a binding contract to use the Service.

2. ACCOUNTS, PLANS & CREDITS

2.1 Account Creation. You must create an account to access the Service. You agree to provide accurate, current information and to keep your credentials secure. You are responsible for all activity under your account.

You may maintain only one account per person. Creating multiple accounts to circumvent plan limitations, obtain additional Free Credits, or otherwise game the system is strictly prohibited and will result in suspension or termination of all associated accounts and forfeiture of any unused Credits.

2.2 Credits.

  • Each Plan provides a certain number of credits per monthly billing cycle (or, for the Free Plan, per calendar month) (“Credits”).
  • Credits may be used in two ways: (a) to download and license royalty-free Assets, as described in Section 4, or (b) to back Funding Goals for creative work published on Zine-Patron, as described in Section 5. The rights and consequences of each use are different and are governed by the applicable section.
  • Credits roll over from month to month while your account remains active and in good standing, up to the maximum rolling balance for your current Plan as described on our Site. Once you reach that maximum, additional Credits stop accruing until you use some of your balance.
  • We may adjust Credit policies (including monthly amounts, rollover caps, and Credit values per Asset or Funding Goal) over time. Any changes will apply prospectively and will be reflected on our Site.

2.3 Free Plan.

  • The Free Plan grants a limited number of Credits per month (for example, one Credit per month) at no charge while your account remains active and in good standing.
  • Free Plan members can read pilots and any content placed outside the paywall but do not have full reading access to the Zine-Patron library.
  • Free Credits are subject to the same rollover, expiration, and forfeiture rules as paid Credits unless otherwise stated on our Site.
  • If we decide to discontinue offering the Free Plan to new users, existing Free Plan accounts will continue to receive their monthly Credits unless we provide at least 30 days’ advance notice of changes that would affect existing users’ monthly Credit allocation.
  • We may suspend or revoke Free Plan access and/or unused Free Credits if you violate these Terms, including our acceptable use and conduct rules.
  • The Free Plan is provided at no charge for as long as your account remains active and in good standing and the Service is available. “Free forever” refers to (a) no automatic conversion to a paid plan, (b) our intent to continue providing monthly Credits to Free Plan users indefinitely while the Service operates, and (c) perpetual license rights to any Assets you download, even if the Free Plan or Service is later modified or discontinued.

2.4 Paid Plans.

Paid Plans provide higher monthly Credit allowances, full reading access to the Zine-Patron library, and additional benefits as described on our Site. You may change between Paid Plans as described in Section 3.

2.5 Responsibility for Backup.

We aim to provide ongoing access to Assets you have already licensed through your account library, but we do not guarantee perpetual online hosting.

You are responsible for downloading and backing up any Assets you wish to retain in secure, private storage. Do not store Assets in shared locations where unlicensed users can access them (see Section 4.3 for restrictions on shared storage and team access).

Your underlying license to legitimately downloaded Assets continues even if your account is later terminated, subject to these Terms.

3. PAYMENTS, CANCELLATIONS, UPGRADES & DOWNGRADES, REFUNDS

3.1 Billing & Renewal.

  • All payments for Paid Plans are processed through Stripe via our membership platform, Memberstack. We do not store your full payment details on our own servers.
  • By subscribing to a Paid Plan, you authorize us to charge your selected payment method on a recurring basis (e.g., monthly) until you cancel.
  • Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

3.2 Price Changes.

We may modify pricing for any Plan. If a change affects your existing Paid Plan, we will provide at least 30 days’ notice. Continued use after the price change takes effect constitutes acceptance of the new price.

3.3 Cancellation.

  • You may cancel your Paid Plan at any time via your account settings.
  • Cancellation becomes effective at the end of your current paid billing period. You will retain access to your remaining Credits, reading access, and Assets library until the end of that period, subject to these Terms.
  • Credits you have already received are yours. Cancellation does not forfeit Credits that were issued during a billing period you paid for. Your existing Credits remain in your account and can be used as long as your account is active.
  • After cancellation, your reading access depends on whether you have any other active Paid Plan. If you have no active Paid Plans, you will return to Free Plan access levels.

3.4 Upgrades.

  • You may upgrade from one Plan to a higher-tier Plan at any time.
  • When you upgrade, we will charge you the difference between your current Plan price and the higher Plan price for your current billing period. This upgrade charge is not prorated by days remaining in the billing cycle.
  • Upon upgrade, we will add the additional Credits associated with the higher Plan for that billing period, minus any Credits already issued for the current period on your prior Plan.

3.5 Downgrades.

  • You may downgrade to a lower-tier Paid Plan (or the Free Plan) at any time.
  • Downgrades take effect at the start of your next billing period. Your existing Credits and Assets remain in your account, but your future monthly Credit allowance and fees will reflect the new Plan.

3.6 Refunds.

  • All payments are non-refundable. We do not provide refunds for partially used subscription periods, and Credits are non-refundable whether used or unused.
  • Credits spent on Funding Goals are non-refundable regardless of whether the goal reaches its threshold. This is explained further in Section 5.
  • If you believe a billing or account error has occurred, contact us promptly. In rare cases and at our sole discretion, we may adjust your Credits or charges as a customer-service gesture, but we are under no obligation to do so.

4. ASSET LICENSE GRANT & RESTRICTIONS

This Section 4 applies to royalty-free Assets downloaded through the Service. It does not apply to Credits spent on Funding Goals, which are governed by Section 5.

Subject to your compliance with these Terms and, where applicable, payment of all fees, when you redeem Credit(s) to download an Asset, Verse Zine grants you a worldwide, perpetual, non-exclusive, non-transferable, royalty-free license to use that Asset as described in this Section 4 (the “License”).

This License is granted to you as an individual account holder and does not grant any rights to your employer, clients, or other third parties except as expressly stated below.

4.1 Permitted Uses

Except for the restricted high-impact uses listed in Section 4.5, you may:

  • Use Assets in your own commercial and personal projects, including websites, social media, online ads, presentations, editorial layouts, product packaging, pitch decks, and similar applications.
  • Modify, edit, crop, overlay, and combine Assets with other elements to create new works.
  • Use Assets in deliverables you create for a client (for example, incorporating an image into a brochure, website, slide deck, or other specific project you are hired to produce), so long as:
    • the client’s rights to the Asset are limited to use within that specific finished project, and
    • the client is not given the raw Asset for general reuse in unrelated future projects unless they obtain their own license or seat.

There are no limits on audience size, viewership, or print runs for these permitted uses, provided they do not fall under the restricted high-impact uses in Section 4.5.

4.2 Prohibited Uses

You may not:

  1. Resell or redistribute Assets as standalone files.
    You may not resell, sublicense, or distribute the Asset by itself (whether original or modified), including by:
    • listing it on another stock media service,
    • offering it as a downloadable resource,
    • packaging it as part of a graphics pack or asset bundle.
  2. Use Assets in templates for resale.
    You may not include an Asset as a key visual element in resellable templates (such as website themes, presentation templates, Canva templates, or similar) where end users can easily extract or reuse the Asset.
  3. Use Assets as the primary value-driver of on-demand merchandise.
    You may not use an Asset as the main design for print-on-demand or mass-produced goods sold to multiple customers (e.g., t-shirts, posters, mugs, phone cases) where the visual is the primary reason someone buys the product.
  4. Use Assets in logos or trademarks.
    You may not use any Asset, in whole or in substantial part, as part of a logo, trademark, or service mark.
  5. Use Assets for unlawful or harmful purposes.
    You may not use Assets in any way that is unlawful, defamatory, libelous, harassing, hateful, discriminatory, pornographic, or otherwise in violation of applicable law or our acceptable use rules.
  6. Use Assets to train or tune AI models or style systems.
    You may not use any Asset to train, fine-tune, or otherwise supply data to any AI or machine-learning model or service, including but not limited to:
    • creating LoRAs or similar fine-tuned models,
    • creating style, profile, or “personalization” codes,
    • building moodboards or style references specifically for ingestion by generative tools,
    • any similar process designed to transfer the look, feel, or composition of our Assets into another model.
    This restriction applies to your use of downloaded Assets and does not limit technical processing by third-party platforms (such as advertising platforms, content delivery networks, or cloud storage providers) for operational purposes such as content delivery, security scanning, fraud detection, or performance measurement — provided such processing does not include training generative AI models to reproduce our specific aesthetic or creating style transfer systems based on our Assets.
  7. Automate shared access or license circumvention.
    You may not build or integrate automated systems (such as internal APIs, bots, or asset libraries) that allow unlicensed users to browse, search, or consume Assets as though they had their own subscription.
  8. Claim authorship of the unmodified Asset.
    You may not present an unmodified or minimally modified Asset as solely your original artwork. You may, however, claim authorship of your broader project that incorporates Assets in a meaningful way.

Any use not expressly permitted by these Terms is prohibited.

4.3 Single-User License, Teams, and Shared Storage

  • The License is per-user, tied to your individual account.
  • You may use licensed Assets in work you perform as an employee or contractor for a company of any size; the company benefits from your licensed use in that project.
  • However, the company does not receive a blanket license to reuse the raw Assets across other employees or projects unless each user has their own Verse Zine account and Credits, or we have separately agreed to enterprise terms in writing.

You may not:

  • Upload or store standalone Asset files in any shared or company-wide location (such as shared drives, DAM systems, or common cloud storage folders) primarily for other people to reuse them, or
  • Create internal libraries of Assets that are accessible to individuals who do not hold their own valid Verse Zine license.

If your organization requires shared or centralized access to Assets beyond what these Terms allow, please contact us to discuss potential enterprise or agency-level licensing.

4.4 Attribution

  • Attribution is not required for most uses.
  • If the work you create includes a formal credits section (such as in a film, television program, or video game), and you have obtained permission from us for that type of use (see Section 4.5), you must include the credit line:
    • Imagery licensed from Verse Zine (versezine.com).
  • Where feasible, we appreciate (but do not require) similar credit in other contexts (for example, in a website footer or project description).

4.5 Restricted High-Impact Uses (Broadcast, Film/TV, Games, etc.)

Your License includes broad commercial rights for typical business, marketing, and creative applications. However, certain high-impact uses require additional clearances and are not included in the standard License granted under these Terms without a separate written agreement or inclusion in a future “Agency” or similar plan.

Unless we have expressly granted you written permission (for example, via a separate contract, order form, or Agency plan), your License does not cover:

  • Use of Assets as key visual elements in broadcast television, theatrical films, or original streaming/OTT series where formal credit sequences and broader rights clearance are standard.
  • Use of Assets as core visual elements in commercial video games or interactive experiences distributed at scale (console, PC, or mobile) beyond basic marketing and pitch materials.
  • Use of Assets in major out-of-home advertising campaigns (e.g., billboards, large transit wraps, airport campaigns) where the Asset is a primary creative focus.
  • Any use where a studio, network, or publisher would typically require bespoke licensing, additional indemnities, or exclusivity.

If you would like to explore these high-impact uses, please contact us so we can discuss an appropriate license or Agency-level plan.

4.6 AI-Generated Depictions of People

Some Assets contain realistic human figures, faces, or likenesses created entirely by AI. No real person is depicted in any Asset. These figures are synthetic creations that do not represent, portray, or reference any actual individual, living or dead. Any perceived resemblance to real individuals is purely coincidental.

Because no real person appears in these Assets, no permissions or releases from any living person are required or available, regardless of any imagined or perceived similarities in appearance.

You may not alter, frame, caption, or otherwise manipulate Assets in a manner that falsely implies endorsement, sponsorship, testimonial, or affiliation by any real person, brand, or organization.

5. FUNDING GOALS

This Section 5 applies to Credits spent on Funding Goals through Zine-Patron. It does not apply to Credits spent on Asset downloads, which are governed by Section 4.

5.1 What Funding Goals Are.

Verse Zine publishes creative work — including serialized fiction, poetry, screenplays, and other formats — and allows readers to signal their support by spending Credits on Funding Goals. Each Funding Goal has a threshold. When enough Credits are spent on a goal, the threshold is reached and Verse Zine greenlights the next installment of that work.

Funding Goals are not purchases, preorders, donations, or investments. Spending a Credit on a Funding Goal is a signal of reader support that counts toward a collective threshold. It does not create a contractual obligation to deliver a specific piece of content on a specific timeline.

5.2 How Credits Work on Funding Goals.

  • You may spend one Credit per Funding Goal.
  • Once spent, a Credit on a Funding Goal cannot be transferred to a different goal, converted back into a general-use Credit, or refunded.
  • Your Credit is counted toward the goal’s threshold immediately upon spending and remains counted for as long as the goal is active.

5.3 What Reaching a Threshold Means.

When a Funding Goal reaches its threshold, it means the work has received enough reader support for Verse Zine to greenlight continuation. This is a real editorial commitment — but it is not a guarantee of delivery on a specific timeline. Creative work moves at its own pace, and circumstances may arise that delay or prevent completion.

Reaching a threshold does not entitle you to a refund if the work is delayed, does not obligate Verse Zine to deliver any specific content by any specific date, and does not create a debtor-creditor or buyer-seller relationship between you and Verse Zine.

5.4 Goals Do Not Expire on a Countdown.

The intention and premise of the funding system is to let goals remain open for as long as the work is active on the platform, whether that takes days, months, or years. Goals do not run on a timer and are not pulled after a set period. This is by design: the system is built to let work find its audience over time, and we do not impose arbitrary deadlines on that process. Goals may only be closed under the circumstances described in Section 5.6 or in connection with discontinuation of the Service as described in Section 9.3.

5.5 Non-Refundable Nature of Funding Credits.

Credits spent on Funding Goals are non-refundable, regardless of whether the goal reaches its threshold. By spending a Credit on a Funding Goal, you acknowledge and agree that:

  • Your Credit is a signal of support, not a payment for a guaranteed deliverable.
  • The goal may or may not reach its threshold.
  • Even if the goal reaches its threshold, the resulting work may be delayed, may differ from what you anticipated, or may not be completed due to circumstances beyond our reasonable control.
  • You are not entitled to a refund, replacement credit, or compensation if a goal does not reach its threshold, if the resulting work is delayed, or if the work does not meet your expectations.

This non-refundable structure exists because goals remain open indefinitely, your credit is counted toward the threshold for the full duration, and the opportunity to rally support behind a goal is real and ongoing.

5.6 Circumstances That May Affect Continuation.

When a Funding Goal reaches its threshold, Verse Zine treats that as a commitment to continue the work. We do not reserve the right to simply change our minds about work that readers have backed.

However, circumstances beyond our reasonable control may delay, alter, or prevent continuation of a work — including but not limited to: illness, incapacitation, or death of a creator; legal claims, disputes, or regulatory actions affecting the work; loss of essential materials or infrastructure due to disaster, theft, or system failure; or discontinuation of the Service itself as described in Section 9.3.

In such cases, we will make reasonable efforts to communicate the situation to affected readers. Credits spent on Funding Goals remain non-refundable, as described in Section 5.5, but we will not take credits for goals we know we cannot fulfill. If we become aware that a work cannot continue, we will close the associated Funding Goal to prevent further credit spending.

We also retain sole editorial discretion over what work is initially published on the platform and whether to attach Funding Goals to any particular work. That discretion is exercised before readers spend credits — not after.

Not every work is intended for indefinite continuation. Some series have a planned ending. Some works reach a natural conclusion. Funding a goal commits Verse to the installment tied to that goal — it does not guarantee that additional continuation goals will be offered afterward. Whether a work receives further goals, enters a new season, or is concluded remains an editorial decision, made before any new goal is posted and before any credits are spent on it.

5.7 No Ownership or License Granted.

Spending a Credit on a Funding Goal does not grant you any ownership interest, license, intellectual property rights, or other proprietary rights in the funded work or any resulting content. Your right to read the work is governed by your plan’s reading access as described in Sections 1.3 and 2.

5.8 Zine-Patron Content.

Creative work published through Zine-Patron is provided for personal reading and enjoyment through the Service. You may not reproduce, redistribute, republish, or create derivative works from Zine-Patron content without our express written permission, except as permitted by applicable law (such as fair use or fair dealing).

6. INTELLECTUAL PROPERTY & SOURCE OF ASSETS

6.1 Our Intellectual Property.

All content on our Site (including the Site design, text, logos, branding, layout, the arrangement of Assets, and all creative work published through Zine-Patron) is the exclusive property of Verse Zine or its licensors and is protected by copyright, trademark, and other intellectual property laws.

6.2 Source and Creation of Assets.

Our Royalty Free library is built through a proprietary, human-led creative process that uses generative AI tools under the direction of our creative director and contributing artists. This process includes concept development, prompt and model selection, iterative refinement, post-processing, and curation.

6.3 Your Acknowledgement.

By using the Service and downloading Assets, you acknowledge and agree that:

  • Our Assets are created and curated using AI tools under human direction.
  • The value of each Asset lies in its final form and suitability for your projects, regardless of the tools used to create it.
  • You will not assert claims against Verse Zine solely based on the fact that AI tools were used in the creation of the Assets, so long as your rights under this License are honored.

We reserve all rights in the Assets, Zine-Patron content, and Site not expressly granted to you in these Terms, including any protectable elements arising from human authorship, selection, arrangement, art direction, and curation.

6.4 Marketing and Advertising Use by Verse Zine

We may display, reproduce, modify, and distribute Assets from our library (including in cropped or adapted form) for our own marketing, promotional, and advertising purposes. When we advertise on third-party platforms, we grant those platforms the technical licenses necessary to deliver, display, and measure those advertisements in accordance with their standard terms of service.

7. USER CONTENT & RESPONSIBILITIES

7.1 Your Creations.

You retain all rights to the new creative works you produce using our Assets (“User Content”), subject to:

  • the License restrictions in Section 4, and
  • your compliance with all applicable laws and these Terms.

We do not claim ownership of your User Content.

7.2 Responsibility.

You are solely responsible for:

  • how you use the Assets and Zine-Patron content,
  • ensuring your User Content complies with applicable laws and third-party rights, and
  • obtaining any additional clearances, permissions, or releases that may be required for your specific use (for example, when combining our Assets with third-party content or identifiable persons).

8. ACCEPTABLE USE & COMMUNITY CONDUCT

8.1 Good-Faith Feedback.

We welcome honest, constructive feedback about the quality and usability of our Assets, our published creative work, and the Service as a whole. Good-faith feedback is characterized by a genuine intent to help us improve and is communicated through appropriate channels — either directly to us via our support contact (nathan@subcreation.design) or, for paying customers, through honest public reviews of your actual experience using the Service.

Public criticism focused primarily on attacking our business model, technology choices, or undermining confidence in our Assets or published work (rather than describing your legitimate experience as a user) does not constitute good-faith feedback.

8.2 Prohibited Conduct.

You agree not to:

  • Create or maintain multiple accounts to circumvent plan limitations or obtain additional Free Credits (as described in Section 2.1).
  • Download Assets or access Zine-Patron content for the primary purpose of publicly attacking, shaming, or undermining Verse Zine (as distinguished from good-faith feedback described in Section 8.1), including by posting cropped portions, zoomed artifacts, or similar content designed to discourage others from using our Service rather than to communicate your own legitimate user experience.
  • Engage in coordinated campaigns (whether organized, automated, or bot-driven) aimed at review manipulation, mass complaints, reputational harm, or pressuring Verse Zine to alter our business practices, creative direction, or editorial policies.
  • Harass, threaten, or abuse Verse Zine staff, artists, creators, or other customers, whether through our Service or in communications directly tied to your use of our Service.
  • Use our Service or branding in any way that is misleading, defamatory, or likely to cause confusion about who created our Assets or published our creative work.
  • Attempt to circumvent, disable, or interfere with any access controls, paywalls, or content-protection mechanisms used by the Service.

8.3 Consequences.

If, in our reasonable judgment, you engage in harassment, abuse, or bad-faith conduct:

  • We may issue a warning, temporarily suspend your account, or permanently terminate your access to the Service.
  • For serious or repeated violations, we may revoke access to unused Credits (including Free Plan Credits) and restrict your ability to sign up again.
  • Termination for cause does not retroactively revoke your License to Assets you have already legitimately downloaded, but it may limit or remove your future access to our systems, the Zine-Patron library, and any remaining Credits.

9. SERVICE AVAILABILITY & MODIFICATIONS

9.1 Service Changes.

We may modify, suspend, or discontinue any aspect of the Service at any time. When changes materially affect existing subscribers, we will provide reasonable notice where practicable.

9.2 Content Changes.

We may add, modify, or remove Assets from our Royalty Free library at our discretion. Removal of an Asset does not affect any License previously granted for that Asset; however, online access to that specific file through your account may change.

Where Zine-Patron creative work has active or pending Funding Goals, any removal or closure of that work remains subject to the commitments and processes described in Section 5.6. Removal of Zine-Patron content may affect your ability to read that work but does not affect any Credits you have already spent.

9.3 Service Shutdown.

If we decide to discontinue the Service entirely, we will make reasonable efforts to provide at least 30 days’ advance notice so you can download any Assets you wish to keep. However, in cases of emergency shutdown, service provider termination, or circumstances beyond our reasonable control, we will provide notice as soon as reasonably possible but cannot guarantee a specific notice period.

We cannot guarantee continued hosting or access after shutdown. As described in Section 2.5, you are responsible for backing up Assets you wish to retain. Your License to Assets you have already downloaded remains in effect, subject to these Terms. Credits spent on Funding Goals prior to shutdown are not refundable.

9.4 Technical Requirements.

Access to the Service requires a stable internet connection and a modern web browser. We do not guarantee compatibility with all devices, browsers, or software.

10. DISCLAIMERS AND LIMITATION OF LIABILITY

10.1 Disclaimers.

THE SERVICE, ALL ASSETS, AND ALL ZINE-PATRON CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, VERSE ZINE MAKES NO WARRANTY OR REPRESENTATION THAT: (A) ANY FUNDING GOAL WILL REACH ITS THRESHOLD, (B) ANY CREATIVE WORK WILL BE COMPLETED, CONTINUED, OR DELIVERED ON ANY PARTICULAR TIMELINE, OR (C) THE QUALITY, DIRECTION, OR CONTENT OF ANY CREATIVE WORK WILL MEET YOUR EXPECTATIONS.

10.2 Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • VERSE ZINE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, ASSETS, OR ZINE-PATRON CONTENT, INCLUDING BUT NOT LIMITED TO ANY CREDITS SPENT ON FUNDING GOALS.
  • OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNT YOU PAID TO VERSE ZINE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, these limitations apply only to the extent permitted by law.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Verse Zine and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Service, Assets, or Zine-Patron content,
  • your User Content,
  • your violation of these Terms, or
  • your violation of any third-party rights.

12. TERMINATION

12.1 By You.

You may stop using the Service at any time and may cancel your Paid Plan as described in Section 3.3.

12.2 By Us.

We may suspend or terminate your account, revoke access to Credits (including free Credits), and/or restrict your access to the Service at any time if:

  • you materially breach these Terms, including the License restrictions, Funding Goal terms, or acceptable use provisions,
  • we believe your account has been compromised, misused, or is involved in fraud, or
  • we discontinue offering the Service.

12.3 Effect of Termination.

Upon termination for cause:

  • Your right to access the Service, read Zine-Patron content, and redeem Credits ends immediately.
  • Any unused Credits — including free Credits — may be forfeited.
  • Credits previously spent on Funding Goals are not refundable or recoverable.
  • Your License to Assets you have already legitimately downloaded remains in effect, subject to continued compliance with these Terms.

13. GENERAL PROVISIONS

13.1 Governing Law.

These Terms are governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law rules.

13.2 Dispute Resolution.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration in King County, Washington, under the rules of a mutually agreed-upon arbitration provider. You agree to waive any right to a jury trial or to participate in a class action regarding such disputes.

13.3 Changes to Terms.

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or by posting a prominent notice on our Site). Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the updated Terms.

13.4 Severability.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13.5 Entire Agreement.

These Terms, together with any other policies or documents expressly incorporated by reference on our Site, constitute the entire agreement between you and Verse Zine regarding the Service and supersede any prior agreements or understandings.

13.6 Privacy Policy.

Your use of the Service is also governed by our Privacy Policy, available here, which is incorporated into these Terms by reference.
